1. About These Terms

These Terms and Conditions (“Terms”) govern your access to and use of https://www.intelegencia.com/ and the pages, forms, content, AI-enabled features and other functionality made available through the website (collectively, the “Website”). The Website is operated by Intelegencia Technologies Corporation (“Intelegencia,” “we,” “us,” or “our”), a Delaware corporation with an office at 40 West Evergreen Ave, Suite 101A, Philadelphia, PA 19118, United States. Intelegencia may also operate or support the Website and the services offered therein through affiliated or group entities, including Intelegencia Analytics Pvt. Ltd. (India) and Intelegencia BPO LLC Corp. in the Philippines. References to “Intelegencia” in these Terms include the relevant entity or entities responsible for the applicable Website activity.

By accessing or using the Website, you agree to these Terms. If you do not agree, please do not use the Website. If you use the Website on behalf of a company or other organization, you represent that you have authority to bind that organization, and “you” includes that organization.

These Terms apply to the Website only. They do not by themselves create a client, vendor, employment, independent-contractor, business associate, data-processing, subscription, service-level, or other commercial relationship between you and Intelegencia. Any services provided to a client are governed by a separate written agreement, statement of work, order form, or other applicable contract.

2. What Intelegencia Does

Intelegencia provides technology, artificial intelligence and engineering, data and analytics, customer experience and business process outsourcing, healthcare business process outsourcing, legal process outsourcing, HR outsourcing, and digital marketing services, amongst other services.

It is hereby clarified that the Website is primarily informational and is not an online store or self-service platform for purchasing these services. Descriptions, examples, case studies, performance figures, certifications, timelines and other statements on the Website are for general information and may vary by client, project, geography, technology, scope and commercial arrangement.

3. Eligibility and Acceptable Use

You may use the Website only for lawful purposes and in accordance with these Terms. You must not:

• use the Website in a way that violates any applicable law or regulation;
• attempt to gain unauthorized access to the Website, its systems, networks, accounts or data;
• interfere with, disrupt, damage or impose an unreasonable burden on the Website or its infrastructure;
• introduce malware, ransomware, viruses, malicious code or other harmful material;
• scrape, crawl, harvest or systematically extract Website content or data except where expressly permitted by law or by us in writing;
• reverse engineer, decompile or attempt to discover source code or underlying models or systems except to the extent applicable law expressly permits it;
• use the Website or its content to impersonate another person or entity or misrepresent your affiliation with Intelegencia; or
• use automated means to access the Website in a manner that bypasses technical controls or access restrictions.

4. Website Content and Accuracy

We try to keep the Website accurate and current, but we do not promise that every statement is complete, current, error-free or suitable for your particular situation.

Nothing on the maybe construed as legal, medical, financial, tax, investment, cybersecurity, compliance or other professional advice.

5. AI Features

The Website may include optional AI-enabled functionality, including an AI chat or similar tools. AI-generated output can be incomplete, inaccurate, outdated, biased or unsuitable for a particular purpose. You should independently verify important information before relying on it.

The Website's public AI chat is a general information feature. Unless we expressly agree otherwise in writing, it is not a patient-support channel, medical service, legal advice service, financial advice service, emergency service, or secure channel for submitting Protected Health Information (“PHI”) or other sensitive or confidential information.

Do not submit PHI, medical or insurance information, government identification numbers, payment-card information, passwords, authentication credentials, trade secrets or other information that you are not authorized to disclose through the public AI feature. Where the Website provides a separate consent step for an AI feature, that consent relates to use of that feature and does not replace any consent or authorization required by applicable law.

Where Intelegencia provides AI-enabled services to a client under a separate agreement, the applicable client contract and data-processing or business-associate arrangements govern the client's data and the permitted use of AI systems.

6. Intellectual Property

The Website and its content, including text, graphics, photographs, videos, designs, logos, trademarks, service marks, software, layouts, compilations, case studies and other materials, are owned by Intelegencia and are protected by applicable intellectual-property laws.

Subject to these Terms, Intelegencia gives you a limited, non-exclusive, non-transferable, revocable right to access and use the Website for personal or internal business information purposes. You may not reproduce, republish, distribute, modify, publicly display, create derivative works from, sell, license or commercially exploit Website content without prior written permission, except where applicable law or an express Website permission allows it.

Nothing in these Terms transfers ownership of Intelegencia intellectual property to you. Intelegencia's names, logos and marks may not be used without prior written permission.

7. Your Submissions

The Website may allow you to submit information through contact forms, consultation requests, job applications or other features. You retain ownership of information you submit, subject to the rights needed for Intelegencia and its service providers to receive, store, review and use that information to respond to you, provide requested services, administer the Website, maintain security, comply with law and perform the purposes described in our Privacy Policy.

You represent that you have the right to submit the information and that your submission does not violate another person's rights, confidentiality obligations, intellectual-property rights or applicable law.

8. Privacy and Data Protection

Our collection and use of personal information through the Website is described in our Privacy Policy, which forms part of these Terms by reference for purposes of describing our privacy practices.

The Privacy Policy explains the categories of information collected through the Website, purposes of use, cookies and tracking technologies, AI chat, third-party providers, international transfers, retention, privacy rights and the separate treatment of personal information that Intelegencia processes for clients.

Where Intelegencia processes personal information on behalf of a client, the client may be the controller/personal information controller and Intelegencia may act as processor/personal information processor, service provider/contractor, or business associate, depending on applicable law and the engagement. The applicable client agreement, data-processing agreement and/or business associate agreement controls that processing.

Nothing in these Terms limits rights that cannot lawfully be waived under applicable U.S. state privacy laws, the Philippines Data Privacy Act of 2012, or other applicable data-protection law.

9. Cookies and Similar Technologies

The Website may use cookies and similar technologies for essential functionality, analytics, security, advertising and other purposes described in the Privacy Policy. Where required, non-essential technologies are activated only after the applicable consent or preference is provided.

10. Marketing Communications

If you provide contact information through the Website, Intelegencia may use it to respond to your request and, where permitted and appropriately consented to, send marketing or business communications. You can opt out of marketing communications at any time using the unsubscribe mechanism provided or by contacting us at info@intelegencia.com. Opting out of marketing does not prevent transactional, security, legal or other non-marketing communications where permitted by law.

INTELEGENCIA DISCLAIMS WARRANTIES, WHETHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AVAILABILITY, ACCURACY AND THAT THE WEBSITE WILL BE UNINTERRUPTED OR ERROR-FREE.

WE DO NOT WARRANT THAT THE WEBSITE, AI OUTPUT, THIRD-PARTY INTEGRATIONS OR CONTENT WILL MEET YOUR REQUIREMENTS, PRODUCE A PARTICULAR BUSINESS RESULT, OR BE FREE FROM HARMFUL COMPONENTS.

NOTHING IN THESE TERMS EXCLUDES OR LIMITS A WARRANTY, RIGHT OR REMEDY THAT CANNOT LAWFULLY BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, INTELEGENCIA AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, BUSINESS, GOODWILL, DATA OR ANTICIPATED SAVINGS, ARISING OUT OF OR RELATING TO THE WEBSITE OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

15. Indemnification

To the extent permitted by applicable law, you agree to defend, indemnify and hold harmless Intelegencia and its affiliates, officers, directors, employees, contractors and licensors from claims, losses, liabilities, damages, costs and reasonable expenses arising from your unlawful use of the Website, your violation of these Terms, or your infringement of another person's rights through information or materials you submit.

We may suspend or restrict access to the Website, in whole or in part, where reasonably necessary to protect the Website, users, our systems or third parties; investigate suspected misuse; comply with law; or maintain or change the Website.

These Terms apply while you use the Website. Sections that by their nature should survive termination, including intellectual property, disclaimers, limitations of liability, indemnification, governing law and dispute provisions, will survive.

17. Changes to the Website or These Terms

We may change, suspend or discontinue any part of the Website at any time. We may also update these Terms to reflect changes to the Website, our services, technology or applicable law. When we make a material change to these Terms, we will take reasonable steps to provide notice appropriate to the circumstances, such as updating the “Last updated” date and posting a prominent notice on the Website. 18. Governing Law and Disputes

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law rules, except to the extent mandatory law in the jurisdiction where you reside or use the Website cannot lawfully be displaced. To the extent permitted by law, disputes arising out of or relating to the Website or these Terms will be brought exclusively in the state or federal courts located in Delaware, and you consent to their jurisdiction and venue.

Nothing in this Section prevents a party from seeking urgent injunctive or equitable relief where necessary to protect intellectual property, confidential information, security or other rights, or from exercising a right that applicable law requires to remain available.

19. Philippines-Specific Protections

If you access or use the Website from the Philippines, these Terms are intended to operate consistently with applicable Philippine law, including Republic Act No. 10173 (the Data Privacy Act of 2012) and applicable rules and issuances of the National Privacy Commission.

Where Philippine law provides a consumer, data subject or other user with a right or remedy that cannot lawfully be excluded or limited by contract, that right or remedy remains available. The Website's privacy practices are addressed principally in the Privacy Policy.

20. India-Specific Protections

Nothing in these Terms limits any right, remedy or protection available to a Data Principal or other person under mandatory Indian law.

To the extent applicable, Intelegencia will also comply with other Indian laws governing electronic communications, online transactions, cybersecurity, consumer protection and information technology. These may include the Information Technology Act, 2000, rules made under that Act to the extent they remain applicable.

The DPDP Act and Rules are being implemented in phases. Intelegencia may update its Website notices, consent mechanisms, rights processes, security controls and other privacy practices as additional provisions become applicable. Nothing in these Terms is intended to postpone compliance with any provision that is already in force.

If you access or use the Website from India, or if Intelegencia processes digital personal data in India in connection with the Website, these Terms are intended to operate consistently with applicable Indian law, including the Digital Personal Data Protection Act, 2023 and the Digital Personal Data Protection Rules, 2025, to the extent applicable and in force.

21. U.S. Consumer and Privacy-Law Savings Clause

Nothing in these Terms is intended to waive, restrict or replace rights that cannot lawfully be waived under applicable U.S. federal or state law, including applicable consumer-protection, privacy, data-security, communications, accessibility or employment laws. Where applicable law gives you a specific privacy right, opt-out right, appeal right, data-access right, correction right, deletion right, portability right or other statutory protection, the applicable privacy notice and law govern that right.

22. Accessibility

23. No Waiver; Severability

If we do not immediately enforce a provision of these Terms, that does not mean we waive our right to enforce it later. If any provision is invalid or unenforceable, it will be modified or severed to the minimum extent necessary, and the remaining provisions will continue in effect.

These Terms and the Privacy Policy constitute the agreement between you and Intelegencia concerning your use of the Website, except that any separate written agreement governing services, client data, employment, procurement, confidentiality or other business matters will control those matters to the extent of a conflict.
